A representative office is a dependent unit of a joint-stock company, and is obliged to represent its company’s interests under authorization and protect such interests.

A joint-stock company has the rights to establish domestic and overseas representative offices, and may have one or more than one representative office in one administrative division.

Establishment of representative offices of a company in a foreign country shall comply with regulations of such country. However, within 30 business days starting from the date of official establishment of a representative office, the company must send a written notice to the Business Registration Office where that company has registered.

Required documents for application:

I. Establishment of domestic representative offices:

1. Notice of representative office operation registration (the form in Appendix II-11 attached to the Circular No. 02/2019/TT-BKHDT);

2. Decision of the Board of Directors on representative office establishment;

3. Valid copies of minutes of the Board of Directors’ meeting on representative office establishment;

4. Valid copy of Decision on appointment of head of representative office;

5. Valid copies of the identity documents of the head of representative office and the person authorized to carry out the procedure (if any):

- For Vietnamese citizens: Unexpired Vietnamese ID card or Vietnamese passport.

- For foreigners: Unexpired foreign passport or an unexpired passport substitute.

6. Request for update of information on representative office operation registration (the form in Appendix II-19 attached to the Circular No. 02/2019/TT-BKHDT) for companies operating under an investment license, investment certificate or other documents with equivalent legal value that have yet to update their business registration information. After receiving this request, business registration authorities shall update the business registration contents in their investment license, investment certificate or other documents with equivalent legal value (declare enterprise information as specified in the Request for update of business registration information attached to the Circular No. 02/2019/TT-BKHDT);

7. The letter of authorization if the person submitting the application and receiving the result is not the legal representative.

II. Establishment of overseas representative offices:

1. Notice of establishment of overseas representative office (the form in Appendix II-12 attached to the Circular No. 02/2019/TT-BKHDT);

2. Valid copy of certificate of representative office operation registration or another equivalent document;

3. The letter of authorization if the person submitting the application and receiving the result is not the legal representative;

4. Valid copy of one of the identity documents of the person authorized to carry out the procedure (if any):

- For Vietnamese citizens: Unexpired Vietnamese ID card or Vietnamese passport.

- For foreigners: Unexpired foreign passport or an unexpired passport substitute.

Receiving authority: Business Registration Office - Department of Planning and Investment of the province where the representative office is located (or Business Registration Office - Department of Planning and Investment of the province where the company's headquarters is located if the notice of establishment of overseas representative office is submitted)

Processing duration: Within three (03) business days, starting from the date of receipt of the complete and valid application.
