When deciding to shut down a representative office, the sole proprietorship shall promptly send a notification of the shutdown to the Business Registration Office of the province or city where the representative office is located.

Shutdown of overseas representative offices of a sole proprietorship shall comply with the law of the host country. Within 30 working days from the official date of shutdown of the overseas representative office, the sole proprietorship must send a written notification to the Business Registration Office of the province or city where its headquarters is located.

Required documents for application:

I. In case of shutdown of a domestic representative office:

1. The notification of shutdown of the representative office (the form in Appendix II-22 attached to the Circular No. 02/2019/TT-BKHDT);

2. The decision on shutdown of the representative office made by the sole proprietor;

3. The list of employees and their corresponding benefits;

4. The list of creditors and unpaid debts, including tax debts and outstanding social insurance contributions of the representative office;

5. The Certificate of registration of the representative office;

6. The seal of the representative office (if any);

7. The authorization letter if the legal representative of the sole proprietorship authorizes another person to submit documents and receive processing results thereof. The authorization letter is not required to be certified or notarized.

8. The legitimate copy of one of the personal identification papers of the person who is authorized to follow required procedures (if any):

- If the authorized person is a Vietnamese citizen: unexpired citizen identity card or ID card or Vietnamese passport.

- If the authorized person is a foreigner: unexpired foreign passport or an equivalent document.

II. In case of shutdown of an overseas representative office:

1. The notification of shutdown of the overseas representative office (the form in Appendix II-23 attached to the Circular No. 02/2019/TT-BKHDT);

2. The authorization letter if the legal representative of the sole proprietorship authorizes another person to submit documents and receive processing results thereof;

3. The legitimate copy of one of the personal identification papers of the person who is authorized to follow required procedures (if any):

- If the authorized person is a Vietnamese citizen: unexpired citizen identity card or ID card or Vietnamese passport.

- If the authorized person is a foreigner: unexpired foreign passport or an equivalent document.

Recieving authority: The Business Registration Office - the Department of Planning and Investment of the province or city where the representative office is located (or where the headquarters of the sole proprietorship is located, if a notification of shutdown of an overseas representative office is submitted).

Processing duration: Within 05 (five) working days, starting from the date of receipt of the complete and valid application.
